These Terms of Service ("Terms") govern your access to and use of all content, tools, and professional offerings made available through this website (the "Service") by Sustainable Technology Innovation, L.L.C. ("Sustainable Technology Innovation," "we," "us," or "our"). Your use of the Service is conditioned on your acceptance, without modification, of the terms and conditions set forth below.
1. Scope of Services and Compensation
Professional Engagements: Sustainable Technology Innovation provides advisory, analytical, and program-management services related to sustainable technology, environmental performance, and innovation initiatives. The specific scope, milestones, deliverables, fees, and performance indicators for any engagement are defined exclusively in a written statement of work, order form, or master services agreement executed by both parties.
Payment: You agree to pay all fees, expenses, and pass-through costs described in the governing agreement. Retainers or recurring fees are generally invoiced in advance of each service period. Third-party charges (for example, software licenses, laboratory testing, or contractor mobilization) are billed as agreed and may require direct payment by you to the applicable vendor. Late payment may result in suspension of work, withholding of deliverables, or termination as permitted by law and the underlying agreement.
2. Intellectual Property
Unless otherwise stated in writing, methodologies, frameworks, models, software configurations, templates, and other materials developed by Sustainable Technology Innovation remain our intellectual property. You receive a non-exclusive license to use those materials solely for your internal business purposes in connection with the engagement. Materials you provide—such as trademarks, facility data, or proprietary processes—remain your property, and you represent that you have the rights necessary for us to use them to perform the services.
3. Client Cooperation
You agree to furnish timely access to personnel, sites, systems, data, and approvals reasonably required for us to deliver the services. You are responsible for the accuracy and legality of all information supplied and for decisions made based on our recommendations. Delays or restrictions on your side may affect schedules, assumptions, and fees as described in the governing agreement.
4. Confidentiality
Each party will protect the other's non-public information using no less than reasonable care and will use such information only to fulfill obligations under these Terms or an applicable engagement. Confidentiality obligations survive termination to the extent permitted by law.
5. Termination
Unless your agreement specifies otherwise, either party may terminate an engagement for convenience with at least thirty (30) days' prior written notice. We may suspend or terminate services immediately for non-payment, unsafe working conditions, or a material breach of these Terms. You remain responsible for fees and reimbursable costs accrued through the effective termination date.
6. Disclaimer of Warranties
The Service and any preliminary information on this site are provided "AS IS" and "AS AVAILABLE." Sustainable Technology Innovation, L.L.C. disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant specific environmental outcomes, regulatory approvals, incentive eligibility, or financial returns, because such results depend on factors outside our reasonable control.
7. Limitation of Liability
To the fullest extent permitted by applicable law, neither Sustainable Technology Innovation nor its members, managers, employees, or suppliers will be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, goodwill, or data, arising from or related to the Service or any engagement. Our aggregate liability for any claim arising out of or relating to the Service or an engagement will not exceed the fees you paid to us in the three (3) months preceding the event giving rise to the claim.
8. Governing Law
Except where mandatory law provides otherwise, these Terms and any dispute arising from the Service or a related engagement will be governed by the laws of the State of Missouri, without regard to conflict-of-law principles, and you consent to the exclusive jurisdiction of the state and federal courts located in Missouri for any action not subject to arbitration under a separate agreement.
9. Changes
We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date when practicable. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
